Terms of Service

1. Agreement to Terms

By accessing or using the BusyTimes platform ("Service") operated by BusyTimes Co ("BusyTimes," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including:

• Companies: businesses that register for a BusyTimes account to manage their bookings and accept appointments
• Clients: individuals who use BusyTimes-powered booking pages to book appointments with Companies

2. Description of Service

BusyTimes is a software-as-a-service (SaaS) online booking and appointment scheduling platform. The Service enables Companies to:

• Create customizable booking pages accessible to their Clients
• Manage staff, services, and availability schedules
• Accept appointment bookings and deposits online
• Send automated appointment confirmations, reminders, and notifications
• Integrate with third-party tools such as Google Calendar and Stripe
• Manage client records and booking history

BusyTimes is a platform provider only. We are not a party to the service transactions between Companies and their Clients. The Company is solely responsible for the services they provide to their Clients.

3. Account Registration and Requirements

3.1 Eligibility

To register a Company account on BusyTimes, you must:

• Be at least 18 years of age
• Have authority to bind the business you are registering on behalf of
• Provide accurate and complete registration information
• Comply with all applicable laws and regulations in your jurisdiction

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. BusyTimes is not liable for any loss or damage arising from your failure to maintain account security.

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. We reserve the right to suspend or terminate accounts that use false or misleading information.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Engage in fraudulent, deceptive, or misleading practices
• Harass, abuse, threaten, or harm any person
• Send unsolicited commercial communications (spam)
• Collect or store personal data about other users without their consent
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use the Service to provide services that are illegal, harmful, or objectionable
• Resell, sublicense, or otherwise commercially exploit the Service without written permission

5. Payments and Billing

5.1 Subscription Fees

Access to certain features of BusyTimes requires a paid subscription. Subscription fees are described on our pricing page and are charged in advance on a monthly or annual basis. All fees are in Canadian dollars unless otherwise stated.

5.2 Stripe Connect and Payment Processing

Companies may use BusyTimes to collect deposits from Clients through our Stripe Connect integration. By enabling payments:

• You agree to Stripe's Terms of Service (stripe.com/legal) in addition to these Terms
• You acknowledge that BusyTimes is not a payment processor and is not responsible for payment disputes or chargebacks
• You are solely responsible for your pricing, refund policies, and tax obligations
• Stripe processes funds and disburses them according to Stripe's own schedule and policies

5.3 Refunds

Subscription fees paid to BusyTimes are non-refundable except as required by applicable law. Deposits collected from Clients are governed by the Company's own refund policy — BusyTimes is not responsible for refunding Client payments.

5.4 Price Changes

We reserve the right to change subscription pricing with at least 30 days' written notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

6. Client Bookings

When a Client books an appointment through a Company's BusyTimes booking page:

• The booking contract is between the Client and the Company, not BusyTimes
• BusyTimes acts solely as the technology platform facilitating the booking
• The Company is responsible for their cancellation, rescheduling, and refund policies
• BusyTimes is not liable for any services provided or not provided by the Company to the Client
• Clients consent to receive appointment-related communications (confirmations, reminders, receipts) when booking

7. Intellectual Property

7.1 BusyTimes Platform

The Service and its original content, features, and functionality are and will remain the exclusive property of BusyTimes Co. Our trademarks may not be used in connection with any product or service without prior written consent.

7.2 Your Content

You retain ownership of content you upload to the Service (logos, descriptions, images). By uploading content, you grant BusyTimes a non-exclusive, worldwide, royalty-free license to host, store, process, and display that content solely for the purpose of providing the Service to you.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use that feedback without restriction or compensation.

8. Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

9. Third-Party Services and Integrations

The Service integrates with third-party platforms including Stripe, Google Calendar, and others. Your use of these integrations is subject to the respective third-party's terms of service and privacy policies. BusyTimes is not responsible for the availability, accuracy, or content of third-party services.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

BUSYTIMES DOES NOT WARRANT THAT:

• THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
• RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE
• ANY ERRORS IN THE SERVICE WILL BE CORRECTED

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BUSYTIMES, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• DAMAGES ARISING FROM: UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS; INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE; BUGS, VIRUSES, OR OTHER HARMFUL CODE TRANSMITTED THROUGH THE SERVICE; ERRORS OR OMISSIONS IN ANY CONTENT

Our total liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the greater of: (a) the amounts you paid to BusyTimes in the 12 months preceding the claim, or (b) CAD $100.

12. Indemnification

You agree to defend, indemnify, and hold harmless BusyTimes and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) content you upload or submit; (c) your violation of these Terms; (d) your violation of any third-party rights; or (e) any disputes between you and your Clients.

13. Term and Termination

13.1 Term

These Terms are effective from the date you first access the Service and continue until terminated.

13.2 Termination by You

You may terminate your account at any time by contacting us. Upon termination, your right to use the Service immediately ceases.

13.3 Termination by BusyTimes

We may suspend or terminate your account immediately, without prior notice, if:

• You breach any provision of these Terms
• We are required to do so by law
• Your account has been inactive for an extended period
• We reasonably believe your use of the Service poses a risk to BusyTimes, other users, or third parties

13.4 Effect of Termination

Upon termination, you will lose access to your account and all associated data. We may retain data as required by law or our data retention policies. Provisions that by their nature should survive termination will survive (including Sections 10, 11, 12, and 15).

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes by email or by posting a notice on the platform. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

Before initiating formal legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiations for at least 30 days after written notice of the dispute.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BusyTimes regarding the Service and supersede all prior agreements.

16.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

16.3 Waiver

Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision.

16.4 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
